Northam Platinum Holdings told the market on 25 August 2026 that its chief executive and members of management had received an unsolicited, exploratory and non-binding approach from a major producer of platinum group metals in South Africa. The approach contemplated either a deal at asset level or a corporate transaction.
A competitive process
Instead of negotiating one-on-one, Northam's board launched a wider strategic process, inviting pre-selected parties and other credible interested groups to submit proposals involving its shares, its assets or both. The board said the process would help crystallise the company's long-term value and industry position. Northam declined to name the suitor, saying it would do so only if a credible proposal were made and accepted.
Northam's shares jumped as much as 11% on the day, briefly triggering a trading halt, before closing about 5% higher. That valued the company at about R122bn, or $7.6bn according to Bloomberg. No offer price has been disclosed, so no deal value is shown.
The suitor
Bloomberg subsequently reported, citing two people familiar with the matter, that the approach had come from Valterra Platinum, the former Anglo American Platinum. A combination would create by far the world's largest PGM supplier. Valterra said it does not comment on M&A speculation.
Context
Northam is the smallest of South Africa's four big PGM producers, alongside Valterra, Sibanye-Stillwater and Impala Platinum. It produced almost 940,000 ounces of PGMs last year and is working to grow output towards about 1.5 million ounces. It lost a long takeover battle for Royal Bafokeng Platinum to Implats in 2023. Any deal involving two of the four majors would face close scrutiny from South Africa's competition authorities and the mineral resources department. As of mid-September 2026 no binding offer had been announced.
